TERMS OF SERVICE AND PRIVACY POLICY

Terms of Service

Effective Date: 1st January 2019

The following Terms of Service apply to all Agreements relating to advertising, sponsorship and/or related services entered into between Global Business Media Limited and the Client.

Definitions

a. “The Publisher” – Global Business Media Limited.

b. “The Client” – the company, organisation or other business customer entering into the Agreement with the Publisher.

c. “Agreement” – any agreement entered into between the Publisher and the Client for advertising, sponsorship, editorial, publication, distribution or related services, whether documented or described as a Statement of Work (SOW), order, booking, reservation, media schedule, publication schedule, package confirmation, proposal, acceptance or otherwise, and whether concluded verbally, electronically or in writing. Each such arrangement shall be referred to in these Terms of Service as an “Agreement” irrespective of the title or format of the document or communication used. An Agreement includes the agreed services, package details, price, any expressly agreed variations and these Terms of Service.

d. “Agreement Date” – the date on which the Publisher and the Client agree upon the services to be provided and their price, whether verbally, electronically or in writing.

e. “Agreement Fee” – the total net cost agreed for the services under the Agreement, excluding VAT where applicable, unless expressly stated otherwise.

1. Supply of Materials

The Client is solely responsible for supplying all text and illustrations for publication of the advertisement and, if applicable, editorial by the copy date specified in the agreed package details or otherwise notified by the Publisher.

In the event of the Publisher not receiving suitable copy by that date, the Publisher reserves the right to print the name, address and telephone number of the Client.

2. Free-of-Charge Inclusions and Additional Services

The inclusion of indexes, listings or any other material and the provision of any services over and above the advertisement itself is provided as a free of charge service to the Client and the Publisher will not be responsible for any errors or omissions or claims for losses arising therefrom. The Publisher reserves the right to reject or amend text/ information supplied by the Client, at its absolute discretion, for any such free of charge inclusions and such rejection will not affect the Client’s obligation to pay the Agreement Fee itself in full in accordance with Clause 11. Failure by the Client to supply the necessary text/ information for any such free of charge inclusions by the due date will not affect the Client’s obligation to pay the Agreement Fee in full in accordance with Clause 11.

3. Publication Delays

Publication dates and editorial production schedules may be subject to reasonable adjustment where necessary because of editorial requirements, contributor availability, production scheduling, regulatory considerations or other circumstances affecting publication.

The Publisher shall use reasonable endeavours to complete publication and distribution within a reasonable period.

A reasonable delay in publication shall not, of itself, entitle the Client to cancel the Agreement, withhold payment or claim a refund, provided the Publisher continues to perform its material obligations under the Agreement.

4. Entire Agreement and Variations

The Agreement contains all the terms agreed between the Publisher and the Client in relation to the services.

The Client acknowledges that it has not relied upon any promise or undertaking by an employee or agent of the Publisher that is not included in the Agreement.

No employee or agent of the Publisher may change or vary these Terms of Service unless expressly agreed in writing by an authorised representative of the Publisher.

Printed terms and conditions on any additional documents issued by the Client or their agent will not be recognised as binding.

5. Cancellation

An Agreement cannot be cancelled unless the Publisher gives written permission. If the Publisher should agree then the Client will be liable for a cancellation fee equal to 30% of the total net cost of the agreement plus VAT, where applicable, payable within 7 days of notification of the Publisher’s agreement to cancel. Any agreement to cancel shall be conditional upon payment of the cancellation fee within seven calendar days. If payment is not received within that period, the cancellation shall not take effect and the original Agreement shall remain in force, subject to applicable law.

6. Client Artwork

All artwork provided by the Client to the Publisher shall remain the property of the Client and shall remain at all times at the Client’s risk. The Publisher does not accept liability for any damage or loss to artwork provided by the Client whilst in its custody or during transit.

7. Rights and Warranties in Supplied Material

The Client represents and guarantees that any White Paper, Research Data or other Editorial material supplied by the Client as part of this Agreement is an original and previously unpublished piece of work, that no portion of this material is covered by a prior copyright; or for any portion copyrighted, the Client and/ or author has obtained permission for its use, and that such material contains nothing whose publication would violate any copyright or other personal or proprietary right of any person or entity.

8. Copyright and Use of Materials

The Client hereby assigns all right, title and interest in and to the Client’s copyright of any White Paper, Research Data, Editorial, and any other material supplied by the Client as part of this Agreement and grants to the Publisher the exclusive right to reproduce and distribute copies of this material in all mediums and formats and to edit, annotate, reformat or otherwise alter the work or incorporate it into a compilation or other work. Any editorial costs/ fees/ honorariums for Client nominated KOLs are to be paid by the Client.

9. Editorial

Where any proposal or related correspondence refers to contributions from Faculty Members or Key Opinion Leaders (KOLs), their participation shall be subject to availability and editorial approval. Where any proposed contributors are unavailable or decline to participate, the Editor will prepare or arrange alternative editorial content to fulfil the agreed editorial requirements. The inability to secure any or all of the proposed contributors shall not, of itself, entitle the Client to cancel the Agreement, withhold payment, reduce the Agreement Fee or claim a refund, provided the Publisher substantially performs the agreed services. All Client-supplied editorial material remains subject to the Editor’s approval.

10. Outstanding Liabilities

In the event that the Client has not discharged all of its liabilities to the Publisher arising from this or any other contract that the Client or any of its subsidiaries or associated companies has with the Publisher, the Publisher reserves the right not to publish any materials on behalf of the Client or any of its subsidiaries or associated companies. Any monies paid will not be refunded.

11. Payment Terms

Payment of the Agreement Fee is due within seven calendar days of the Agreement Date, unless otherwise agreed in writing by the Publisher. Late payments may be subject to statutory interest at 8% above the applicable Bank of England base rate, together with compensation and reasonable recovery costs in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, as amended. The Client is responsible for ensuring that any internal purchase orders or payment approvals are completed within the agreed payment period.

12. Editorial Policy

Editorial content supplied by the Client will only be included if it is deemed by the Publisher to be of genuine interest and/or educational value to readers.

The Publisher retains editorial independence and shall not be required to publish material which it reasonably considers unsuitable, misleading, inaccurate, unlawful, inconsistent with applicable regulatory requirements or contrary to its editorial standards.
